1. Description of the Software

VEXpert is a productivity tool designed to assist users working in SideFX Houdini by generating, modifying, explaining, and debugging VEX code using AI-assisted services.

VEXpert is not a replacement for Houdini knowledge, technical expertise, or production testing.

2. License Grant

Upon purchase, you are granted a non-exclusive, non-transferable license to use VEXpert for personal or commercial work, subject to these Terms.

You may:

• Use the Software in production environments
• Use generated code in commercial projects

You may not:

• Resell, sublicense, or redistribute the Software
• Reverse-engineer or attempt to extract backend services
• Share license keys publicly or across multiple users unless explicitly permitted

3. AI-Generated Content Disclaimer

VEXpert uses AI systems to generate code and explanations.

You acknowledge and agree that:

• AI-generated output may be incorrect, incomplete, inefficient, or unsuitable
• All generated code must be reviewed and tested by the user
• You remain fully responsible for validating results before use in production

We make no guarantees regarding correctness, performance, or suitability of AI-generated output.

4. No Warranty

The Software is provided "as is" and "as available", without warranties of any kind, express or implied.

We do not warrant that:

• The Software will be error-free
• The AI output will meet your expectations
• The service will be uninterrupted or always available

5. Limitation of Liability

To the maximum extent permitted by law:

We shall not be liable for any direct or indirect damages, including but not limited to:

• Loss of data
• Corrupted Houdini scenes
• Pipeline failures
• Production downtime
• Financial or business losses
• Lost profits or opportunities

Your use of VEXpert is entirely at your own risk.

6. Token Usage & Refund Policy

VEXpert operates on a token-based usage system.

• Tokens are consumed when AI services are used
• Tokens are considered spent once a request is processed
• AI output quality does not qualify for token refunds

Refunds are not guaranteed, except where required by applicable law.

7. Payments

Payments are processed securely via a third-party provider (Polar.sh).

We do not store or process payment card details directly.

All billing, VAT, and invoice handling is managed by the payment provider.

8. Data Collection & Usage

To operate the Software, we may collect and process:

• Email address (for licensing and account management)
• AI prompts and requests (used to improve system quality and reliability)

Prompt data is:

• Used for internal development and improvement
• Not sold to third parties
• Not used to identify individual users

9. Service Availability & Changes

We reserve the right to:

• Modify or discontinue parts of the Software
• Change AI providers or backend behavior
• Adjust features, limits, or pricing

We are not obligated to maintain backward compatibility.

10. Termination

We reserve the right to suspend or revoke access to the Software if:

• These Terms are violated
• The Software is abused or misused
• Fraudulent or unauthorized use is detected

11. Governing Law

These Terms are governed by the laws of Denmark, without regard to conflict-of-law principles.
